Throughout the site, the terms “we”, “us” and “our” refer to the website https://paperguide.ai. We offer this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
The Service is an AI-powered research platform. References below to a "store," "products," "merchants" or "shipping" are superseded by the Service-specific terms in this agreement.
SECTION 1 - SERVICE TERMS AND ELIGIBILITY
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority and you have given us your consent to allow any of your minor dependents to use this site. You may not use our products for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms or viruses or any code of a destructive nature.
You may use the Service only if you can form a binding contract with us. The Children section of our Privacy Policy explains how this applies to minors.
SECTION 2 - GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time.
Your connection to the Service is encrypted in transit using TLS, and User Content is encrypted at rest. Content may still traverse and be adapted to various networks in the course of delivering the Service. Payment card data is handled by our PCI-compliant payment processor.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by us. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
SECTION 2A – DATA OWNERSHIP, CONFIDENTIALITY, AND AI OUTPUTS
2A.1 Ownership of User Content — You retain full ownership of all content you upload, submit, create, or generate through the Service, including documents, research files, prompts, notes, and outputs ("User Content"). Paperguide does not claim any ownership rights in your User Content.
2A.2 Limited License to Operate the Service — You grant Paperguide a limited, non-exclusive, non-transferable, revocable license to process, store, index, and display your User Content solely for the purpose of providing and operating the Service for you. This license does not permit resale, disclosure, marketing use, or training of generalized AI models.
2A.3 Confidentiality and Data Use — Paperguide treats User Content as confidential, does not sell it, and does not share it with third parties for commercial purposes. We do not use it to train public or generalized AI models, and access is limited to authorized personnel and service providers under confidentiality obligations who need it to operate the Service.
2A.4 AI-Generated Outputs — All AI-generated summaries, analyses, citations, or outputs produced from your User Content belong to you.
2A.5 Aggregated and Anonymized Data — Paperguide may use aggregated and anonymized usage data that does not identify you or your User Content to maintain, improve, and secure the Service.
2A.6 Data Deletion and Termination — Upon termination, User Content will be deleted or anonymized according to retention policies. Confidentiality obligations survive termination.
For the avoidance of doubt, the applicable retention periods are those set out in the Data Retention section of our Privacy Policy.
SECTION 2B – USER RESPONSIBILITIES FOR UPLOADED CONTENT AND THIRD-PARTY RIGHTS
2B.1 Your representations. You represent and warrant that, for all User Content you upload, submit, share or otherwise use through the Service, you own it or have all necessary rights, licenses, consents and permissions to do so, and that your upload, use and any sharing of it does not and will not infringe or violate the intellectual property, contractual, privacy or other rights of any third party, including publishers, journals, licensors, databases and your own institution.
2B.2 Licensed and paywalled materials. Many journal articles, books and databases are made available to you only under licenses (for example, a university library subscription) that restrict copying, redistribution and sharing. You are solely responsible for complying with those licenses and applicable copyright law. You must not use the Service to store, distribute, or provide other users with access to content you are not authorized to share, and you must not use collaboration or sharing features to give any person access to third-party content beyond what your license permits.
2B.3 No transfer of rights by Paperguide. The Service does not grant you any right, title or license in any third-party or publisher content, and nothing in the Service should be understood as authorization to reproduce or share such content. Paperguide is a tool that processes the content you choose to provide; it is not a source of, and does not license to you, any publisher content.
2B.4 Sharing and collaboration. If you share User Content, workspaces, links or outputs with other users or third parties, you are responsible for who you grant access to and for ensuring that access is permitted by any applicable license and law. You are responsible for the acts and omissions of persons you invite or to whom you grant access.
2B.5 Your responsibility and hold-harmless. As between you and Paperguide, you bear sole responsibility for your User Content and your sharing of it. Your indemnity in the Indemnification section expressly covers third-party claims (including by publishers or licensors) arising from your User Content or your sharing of it, and the indemnity survives termination.
SECTION 2C – COPYRIGHT, DMCA NOTICES, AND REPEAT INFRINGERS
2C.1 Respect for copyright. Paperguide respects the intellectual property of others and expects users to do the same. We do not permit content that infringes copyright or violates publisher or licensor rights.
2C.2 Notice-and-takedown. If you believe content on the Service infringes your copyright, send a notice under the U.S. Digital Millennium Copyright Act (17 U.S.C. §512) to our designated agent:

The notice must include the elements required by §512(c)(3) (identification of the work, the material and its location, your contact details, a good-faith statement, and a statement under penalty of perjury). We will respond to valid notices, including by removing or disabling access to the material.
2C.3 Counter-notice and repeat infringers. Affected users may submit a counter-notice as permitted by the DMCA. We will, in appropriate circumstances and at our discretion, disable or terminate the accounts of users who are repeat infringers.
SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICES
Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
SECTION 5 - SUBSCRIPTIONS, BILLING, RENEWAL, AND REFUNDS
5.1 Plans and credits. The Service is offered on Free, Plus and Pro plans (and any other plans as may be added/changed in future) and uses an AI-credit system; plan features and credit allowances are as described on our pricing page and may change prospectively. Unused credits expire at period end.
5.2 Auto-renewal. Paid subscriptions renew automatically at the then-current price for the same period until cancelled. You authorize us (via our payment processor) to charge your payment method on each renewal.
5.3 Cancellation and refunds. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Refund policy: no refunds for partial periods except where required by law, or a stated money-back window (available in FAQs section of pricing page https://paperguide.ai/pricing). You are responsible for keeping your billing information current.
SECTION 6 - OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. Any use by you of the optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
This section applies to genuine third-party tools and services. It does not limit Paperguide's own obligations under these Terms for connectors, integrations or features that Paperguide itself publishes.
SECTION 7 - THIRD-PARTY LINKS
Certain content, products and services available via our Service may include materials from third-parties. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
SECTION 8 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, "comments"), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation to maintain any comments in confidence, to pay compensation for any comments, or to respond to any comments.
If you submit product feedback, suggestions, or ideas about the Service (excluding User Content), you agree that Paperguide may use such feedback without restriction and without obligation to you. This section does not apply to uploaded documents, research files, AI prompts, or AI-generated outputs, which are governed by Section 2A.
SECTION 9 - PERSONAL INFORMATION
Your submission of personal information through the Product/Service is governed by our Privacy Policy.
SECTION 10 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, pricing, and availability.
We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate without prior notice (including after you have submitted your order).
SECTION 11 - PROHIBITED USES
As a condition of your use of the Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website. We reserve the right to terminate your use of the Service for violating any of the prohibited uses.
You are additionally prohibited from: (l) uploading, storing, or sharing any content in violation of a license, subscription, or terms governing that content, including paywalled or subscription journal articles, books, or database records; (m) using the Service to provide any person with access to third-party or publisher content that they are not authorized to access; (n) circumventing, or attempting to circumvent, any access controls, paywalls, or digital rights management protecting third-party content; and (o) using another person's institutional or library credentials, or your own, in a manner that violates the terms of those credentials.
SECTION 12 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
We do not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free. You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and services delivered to you through the Service are (except as expressly stated by us) provided "as is" and "as available" for your use, without any representation, warranties or conditions of any kind, either express or implied. In no case shall Paperguide, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the Service. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions our liability shall be limited to the maximum extent permitted by law.
Additionally, the Service uses artificial intelligence and may produce output that is inaccurate, incomplete, or misattributed; AI outputs are a research aid and must be independently verified before use. Paperguide makes no representation that any third-party or publisher content is licensed for your intended use, and disclaims liability for your use or sharing of content you were not authorized to use or share.
SECTION 13 - INDEMNIFICATION
You agree to indemnify, defend and hold us (Paperguide and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees) harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
Without limiting the foregoing, your indemnification obligation expressly includes any claim or demand by a publisher, journal, licensor, database provider, or other rights holder arising out of your User Content or your uploading, storage, sharing, or distribution of content through the Service, including claims of copyright or other intellectual-property infringement and claims arising from access you granted to other users. This obligation survives termination.
SECTION 14 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 15 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination.
Provisions that by their nature should survive termination — including Sections 2A, 2B, 2C, 12, and 13 — survive.
SECTION 16 - ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written.
Where you and Paperguide have signed an enterprise order form, master services agreement, or data processing agreement, those terms control over any conflicting provision of these Terms for that customer.
SECTION 17 - GOVERNING LAW
These Terms of Service, and any separate agreements by which we provide you Services, are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. Except for disputes subject to arbitration under Section 17A, the exclusive venue for disputes shall be the state and federal courts located in Fulton County, Georgia, and you consent to their jurisdiction.
SECTION 17A - DISPUTE RESOLUTION; ARBITRATION AND CLASS ACTION WAIVER
17A.1 Informal resolution first. Before starting arbitration, you and Paperguide agree to try to resolve the dispute informally. Email [email protected] (or reply to us, if we contact you first) with a short description of the dispute and allow 30 days to reach a resolution.
17A.2 Binding arbitration. If the dispute is not resolved, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Fulton County, Georgia, by telephone or video, or in your county of residence, at your election. Judgment on the award may be entered in any court of competent jurisdiction.
17A.3 Class action waiver. All disputes will be brought only in an individual capacity. You and Paperguide each waive any right to bring or participate in a class, collective, consolidated or representative action, and the arbitrator may not consolidate claims or preside over any form of class proceeding.
17A.4 Exceptions. Either party may instead bring an individual claim in small-claims court, and either party may ask a court for injunctive relief to protect its intellectual property or to stop unauthorized use of the Service.
17A.5 Your right to opt out. You may opt out of this Section 17A by emailing [email protected] within 30 days of first accepting these Terms, stating your name and account email. Opting out does not affect any other part of these Terms.
17A.6 Severability. If the class action waiver in 17A.3 is held unenforceable as to any claim, that claim will proceed in the courts identified in Section 17, and the remainder of this Section 17A will remain in effect.
SECTION 18 - CHANGES TO TERMS OF SERVICE
You can review the most current version of the Terms of Service at any time at this page. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes constitutes acceptance of those changes.
